Sanofi is building a first in class digital organization with an ambitious roadmap to improve health outcomes through digital innovation and contribute €1BN to Sanofi’s Business Operating Income by 2025. We are seeking a self-motivated, experienced, solution-oriented, lawyer to serve as a critical legal business partner to the Chief Digital Officer team and Sanofi Ventures team. The successful candidate will enjoy interacting with a large number of stakeholders at all levels of the Sanofi organization and working in a fast-paced environment where a combination of digital, healthcare and business acumen are key.
Legal Adviserto Digital Strategy & Partnering Team, Sanofi Ventures Team
Active involvement upstream of projects (member of project teams) in the design of collaboration, commercial or business strategies aligned with company objectives, working closely with internal teams to propose options, delivering consistent, pragmatic advice, guidance, recommendations and support and in the implementation of the solutions
Advise business partners on how to employ contractual technique and Intellectual property structures to manage the risks associated with digital partnering transactions
Act as Subject Matter Expert and coordinates legal issues common to digital health offerings across the Global Business Units such as: business models, data strategy, regulatory requirements for Software as Medical Devices, relationships with customers and patients, telemedicine, etc..
Act as Subject Matter Expert in US corporate venture capital transactions
Develops global standards and guidelines that can be leveraged by peers across the organization
Takes an active role in internal LEBI cross-functional initiatives supporting digital and ventures initiatives
End to End Transaction Support to
All types of agreements leveraging digital technologies in healthcare to improve health outcomes through the development of patient support solutions, connected devices and ecosystems, digital therapeutics, data analytics capabilities
Sanofi Ventures investments in early stage ventures in biotech and health tech
In collaboration with the team, takes an active role in keeping abreast of relevant legal developments and sharing knowledge with business partners and peers including by leading dedicated trainings.
Outside Counsel Management
Take advice from and instruct outside counsel when appropriate and supervise their work and associated fees.
KNOWLEDGE, EXPERTISE & ABILITIES:
Excellent understanding of the biopharmaceutical business and digital health technologies
Superior business partnering, customer-oriented and problem-solving skills
Advanced communication and influencing skills including the ability to advise and cogently explain and discuss complex matters with business partners at all levels of the organization
Advanced negotiation and project management skills
Eager to cooperate and share information with a large number of stakeholders is key to succeed
Superior skills at drafting complex US law governed agreements in English
Ability to manage workloads and prioritize among a given number of active files at any one time
Ability to integrate internal processes inherent to a large organization in a timely fashion
Adopts an open and flexible mindset to adapt rapidly to change and support continuous improvement of team work
Ability to work independently with limited supervision, exercise sound independent judgment and thoughtful risk taking approaches to problem solving
Substantive expertise about contract law, intellectual property law (including patents, trademarks, copyrights, and trade secrets and database IP), software law and IT law
Substantive experience with venture capital transactions
Expertise in a combination of the following areas: SaMDs and pharma regulation, artificial intelligence and RWE in healthcare, cybersecurity, telemedicine, e-commerce, anti-fraud and anti-kickback statutes, transparency statutes, digital health business models and their combination with therapeutics
Familiarity with EU and US privacy regulations (with emphasis on healthcare data) and experience addressing privacy issues arising when launching HCP or customer-facing digital health solutions
Familiarity with intellectual property rights arising from software development, databases, and websites
Familiar with agile principles for product development
Fluency in oral and written English is a must
Frequent interactions with the teams based in Europe, Asia and the United States
Periodic travel for transactions/or to other Sanofi sites
JD or equivalent advanced legal degree; focus in business, healthcare, software or IP law a plus
Minimum of 10 years of legal practice with transactional experience in healthcare & software licensing and venture capital
Professional or academic experience in a common law country is a plus
Bar qualification is required for US-based lawyers; a plus elsewhere
Experience at a top tier law firm in life sciences & digital group is a plus
